Client Services Agreement

Last updated · 25 August 2026

1. Scope

Each engagement is governed by a written proposal or statement of work that forms part of this Agreement. Work falling outside the agreed scope is quoted separately before it begins — no surprise invoices.

Retainer services (hosting, maintenance, content changes) are described on our pricing page and confirmed in your proposal.

2. Fees and payment

Build projects: 50% deposit to reserve the schedule, balance due on launch. Retainers are billed monthly in advance by standing order.

Retainers run on a rolling monthly basis and may be cancelled by either party with 30 days’ written notice. Third-party costs (domains, licences, stock imagery) are passed through at cost with prior approval.

3. Intellectual property

On receipt of full payment, all intellectual property in the final deliverables created for you transfers to you. We retain rights to underlying frameworks, internal tooling and pre-existing materials, and the right to feature completed work in our portfolio unless you ask otherwise in writing.

Content you supply remains yours at all times.

4. Domains and account ownership

Domains are registered in your name and paid through a registrar account under your control wherever technically possible. You always retain independent control of your .co.uk (and other) domains.

On request we will transfer hosting, domain and repository access to you or another provider, ensuring you are never locked in.

5. Use of AI in our services

We use AI-assisted tools to help develop your project and to support the management of our working relationship (for example, drafting content, generating code, design assets and marketing copy, and drafting communications). Any AI output is reviewed, checked and approved by us before it is delivered to you, and we remain responsible for the work we provide.

Where you share materials, content or business information with us, we may process it using AI tools to deliver the services. We only use such information to the extent needed for your project and in line with our Privacy Policy. No AI system makes automated decisions about you or your project that have legal or similarly significant effects; a person always reviews and approves such decisions.

You confirm that content you supply to us is theirs or is licensed to you, and that you have the right to use and share it (including any personal data it contains) for the purposes of this Agreement.

We will not claim ownership of your materials, and ownership of final deliverables transfers to you as set out in this Agreement regardless of the tools used to create them.

6. Limitation of liability

Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.

Subject to that, our total aggregate liability arising out of or in connection with the services is limited to the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential loss, including loss of profit, revenue or goodwill.

7. Consumer Rights Act 2015

We perform all services with reasonable care and skill, in line with the description agreed with you. Where you deal as a consumer, nothing in this Agreement affects your statutory rights under the Consumer Rights Act 2015.

8. Termination and governing law

Either party may terminate for material breach not remedied within 14 days of written notice. On termination, sums due remain payable and we will provide a reasonable handover of deliverables and accounts.

This Agreement is governed by the laws of Scotland, and the courts of Scotland have exclusive jurisdiction.
